Position Overview:
Inversion is seeking a Vice President of Legal & Compliance to serve as the firm’s in-house expert on all regulatory, legal, and compliance matters related to our acquisition strategy and ongoing portfolio operations.
Reporting directly to the CEO and collaborating closely with the executive team, this individual will drive deep market research and analysis of latitude-spanning telecom and fintech regulations—particularly in Latin America—while maintaining oversight of U.S. compliance obligations. The VP will ensure that Inversion’s “rip-and-replace” blockchain strategy anticipates and adapts to evolving legal landscapes, helping guide investment decisions and post- acquisition integration.
This role is research-driven rather than transactional: the VP will not act as formal counsel but will complement our external counsel and future General Counsel by surfacing critical insights, setting internal policy, and managing routine compliance workflows.
Key Responsibilities:
- Regulatory & Market Intelligence
- Conduct in-depth research on telecom, fintech, and blockchain-related laws and regulations across target Latin American jurisdictions (e.g., Mexico, Brazil, Colombia), as well as relevant U.S. federal and state statutes.
- Identify gaps or risks in our strategic thesis—“rip-and-replace” of incumbent telco contracts with decentralized infrastructure—by mapping local licensing requirements, spectrum rules, data-privacy regimes, and financial services regulations.
- Monitor proposed rule-makings, policy papers, and enforcement actions from agencies (e.g., ANATEL in Brazil, CNBV in Mexico, FCC in the U.S.) to assess impact on current and future portfolio companies.
- Legal Research & Analysis:
- Synthesize legal research into concise, actionable memoranda that highlight critical compliance issues for each investment opportunity and post-acquisition integration plan.
- Evaluate cross-border considerations around transferring telecom infrastructure to blockchain-based networks, including interconnection agreements, roaming obligations, and regulatory approvals.
- Assess fintech use cases—such as mobile money or remittance platforms—within Latin America, identifying licensing gaps, anti-money-laundering (AML)/KYC requirements, and consumer protection rules.
- Policy & Internal Guidance:
- Draft and maintain Inversion’s internal compliance policies, procedures, and operating manuals—covering areas such as anti-bribery, sanctions screening, data privacy, and cybersecurity—ensuring alignment with both U.S. and foreign legal frameworks.
- Serve as the primary liaison for compliance-related due diligence checklists during deal execution, coordinating with the Investment Team to integrate legal findings into transaction memos and investment committee materials.
- Partner with external counsel to ensure timely drafting and review of definitive documents (e.g., term sheets, share purchase agreements, compliance certifications), but do not act as the designated signatory or licensed attorney.
- Engagement with Lobbying & Trade Organizations:
- Identify, retain, and manage relationships with specialized lobbying firms and trade associations (e.g., Latin American telecom consortiums, blockchain advocacy groups) to obtain forward-looking insights on regulatory shifts and best practices.
- Represent Inversion at key industry forums, roundtables, and regulatory stakeholder meetings—summarizing takeaways and recommending strategic adjustments.
- Ongoing Compliance Monitoring:
- Oversee and execute standard compliance tasks, including periodic AML/KYC reviews, sanctions screenings, insider trading policy enforcement, and maintenance of corporate governance records.
- Coordinate with portfolio company management and external compliance vendors to ensure that subsidiaries adhere to Inversion’s policies and local regulatory mandates post-closing.
- Develop and deliver periodic compliance training modules for all Inversion employees and key portfolio company stakeholders.
- Strategic Collaboration:
- Work alongside the CIO and Investment Team to validate deal models by integrating legal/regulatory assumptions into valuation and operational projections. Advise on the feasibility and timing of blockchain “rip-and-replace” projects relative to permit cycles, spectrum auctions, and fintech licensing processes.
- Provide ongoing counsel to portfolio CEOs and CFOs on compliance risks, ensuring alignment of corporate structures with local regulatory requirements—without acting as primary legal counsel.
Qualifications:
- Juris Doctor (J.D.) or equivalent graduate degree in Law, Regulatory Affairs, or related field. While bar admission is desirable, this role focuses on research and policy rather than transactional practice.
- Minimum of 8–10 years of professional experience performing complex legal and regulatory research—ideally spanning telecommunications, financial services, fintech, and/or blockchain—both in the United States and Latin America.
- Demonstrated track record of interpreting cross-border statutes, rulemakings, and licensing requirements for telecom and fintech operators in LATAM markets (e.g., Brazil, Mexico, Colombia, Chile).
- Hands-on familiarity with U.S. regulatory frameworks, including FCC rules for wireless carriers, FTC/CFPB guidelines for consumer financial services, FinCEN/OFAC compliance, and SEC guidance on digital assets.
- Exceptional ability to translate dense regulatory materials into clear, executive-level summaries and recommendations.
- Proven experience engaging with lobbying firms, trade associations, and regulatory agencies to obtain advance notice of rule changes or policy initiatives.
- Prior involvement in building or maintaining internal compliance programs—drafting policies for AML/KYC, data privacy (GDPR, LGPD), anti-corruption (FCPA, UK Bribery Act), and corporate governance.
- Highly self-motivated and intellectually curious, with an entrepreneurial mindset; comfortable navigating a fast-paced, evolving environment where priorities shift quickly.
- Excellent written and verbal communication skills; fluency in English is required, and professional proficiency in Spanish or Portuguese is strongly preferred.
- Strong project management and organizational skills, with the ability to juggle multiple research projects and compliance workflows simultaneously.
- Proven track record of working independently and collaboratively across geographically dispersed teams.
- Comfort with occasional travel throughout Latin America and the U.S. to engage local regulators, attend industry conferences, and conduct site-level compliance assessments.
