Overview

The Director Litigation, Ethics & Compliance executes compliance and litigation strategy to achieve key business objectives. The role directly reports to the Chief Legal Officer and routinely interacts with operations & commercial managers, executive management, professional staff, and corporate function Leads, as well as external clients, customers, and technical/professional advisors.

The Director Litigation, Ethics & Compliance role requires comprehensive compliance & litigation, management, and business expertise. This role directs the resolution of highly complex or unusual business problems that have implications beyond their function. The Director Litigation, Ethics & Compliance applies broad industry and commercial awareness to drive financial and operational performance and influence customer relationships.

Responsibilities

The position will include the following responsibilities:

  • Design, implement, and maintain a comprehensive compliance program aligned with industry regulations, including policies, procedures, and training materials.
  • Conduct regular risk assessments to identify potential compliance issues across all business operations, monitor compliance activities, and implement mitigation strategies.
  • Investigate suspected violations of compliance policies and laws, gather evidence, and recommend appropriate disciplinary actions when necessary.
  • Develop and deliver compliance training programs to raise awareness of relevant laws, regulations, and company policies.
  • Regularly report compliance status to senior executives and management, including potential risks and issues, and provide updates on corrective actions taken.
  • Provide guidance and support on legal and compliance issues to business units, interpreting policies and regulations as needed, including supporting KYC activities.
  • Interpreting and applying data privacy laws to business operations, assessing legal risks associated with data processing activities, and providing strategic advice to internal stakeholders on compliance matters.
  • Drafting and updating company privacy policies, data processing agreements, and other privacy-related documents to ensure compliance with relevant regulation.
  • Reviewing contracts with third-party vendors to ensure appropriate data privacy protections are included in data processing agreements.
  • Represent companies in arbitrations and lawsuits, including pre-trial discovery, motions practice, and trial preparation, by analyzing the facts of a case, gathering evidence, interviewing witnesses, and determining the best legal strategy to pursue.
  • Advising clients on legal options on litigation and arbitration matters, managing expectations, and keeping them updated on case progress.

The position may also include some of the following responsibilities, depending on the background and experience of the candidate:

  • Negotiating with labor unions on collective bargaining agreements and advising management on union-related issues.
  • Providing legal support for equity and debt offerings, including initial public offerings (IPOs), follow-on offerings, private placements, and debt financing transactions.  
  • Assisting with the legal aspects of mergers and acquisitions.  
  • Providing legal support for debt financing and other financial transactions, including loan agreements, credit facilities, and security documentation.  
  • Staying updated on evolving environmental laws and regulations at the local, national, and international levels, advising the company on compliance requirements.  
  • Collaborating with cross-functional teams to develop and implement comprehensive sustainability strategies, including setting goals, targets, and reporting mechanisms.  
  • Developing and implementing IP protection strategies, including drafting, filing and prosecuting patent applications before patent offices, managing a trademark portfolio and registering trademarks.

Qualifications

  • Juris Doctorate or equivalent
  • Typically, 15-20 years’ experience in construction litigation, labor & employment and/or compliance, with at least 5+ years of professional working experience in ethics & compliance 
  • Experience and understanding of international anti-corruption and global trade compliance laws and regulations
  • Experience in providing practical legal advice to management
  • Knowledge of commercial, sales, and negotiation strategies
  • Proficient in MS Office, particularly Word, Excel, and PowerPoint
  • Proficient in English is necessary, Spanish a plus
