NORTH TEXAS TOLLWAY AUTHORITY 

Summary

The Corporate Counsel assists the Assistant Executive Director/General Counsel and Assistant General Counsel with the management of all legal and related administrative work. Works under minimal supervision with latitude for the use of initiative and independent judgment. Duties include regularly interacting with NTTA departments regarding the preparation and negotiation of NTTA contracts, including completing review through NTTA’s contract management software; researching and advising General Counsel, Assistant General Counsel and departments regarding laws applicable to ongoing and contemplated projects, as well as open government requirements; drafting and reviewing legal documents.

Responsibilities

  •  Assists with development of policies and procedures, interpreting laws and advising legal staff and departments on legal issues, as well as coordinating with outside counsel and consultants.
  •  Stays abreast of federal, state, and local laws applicable to NTTA, including, without limitation, in the areas of employment, construction, contract, corporate governance, collections, bankruptcy, general litigation, government representation, public finance, intellectual property, privacy, data security, insurance, real estate, environmental, and both federal and state constitutional law.
  •  Writes, reviews, and edits contracts, memoranda, presentations, and correspondence.
  •  Participates in the procurement process by reviewing and editing contracts.
  •  Participates in meetings with staff across all levels of the organization to discuss ongoing and/or contemplated projects and follow up on related tasks to ensure completion.
  •  Ensures that NTTA insurance staff and NTTA insurer are apprised of case developments and review draft settlement agreements and communicate with applicable NTTA staff to coordinate applicable signatures and settlement activities, as appropriate.
  •  Communicates effectively both orally and in writing with staff at all levels, consultants, vendors, counsel for vendors, and customers.
  •  Ensures conservative use of outside counsel services in monitoring progress toward department’s fiscal objectives.
  •  Attend in-person during board packet days (as-needed), team /NTTA employee events, and any miscellaneous in-person meetings.

Qualifications

Minimum

  •  Juris Doctorate from an accredited law school.
  •  Texas Bar membership within 12 months.
  •  Self-started who completes project independently.
  •  Ability to be focused under tight deadlines and high volume of requests.
  •  Ability to maintain confidentiality while working in a team setting.
  •  Highly detail-oriented with strong organizational skills.
  •  Strong interpersonal collaboration and communication skills.
  •  Demonstrates a high level of critical thinking.
  •  Ability to read, analyze, and/or write legal documents, articles, statutes, and case law.
  •  Extensive knowledge of business English and rules of grammar, spelling, and punctuation.

Preferred

  •  Previous in-house or governmental experience.
