Still Velocity is a computational biotech company designing AI-engineered proteins for commercial applications in biologic stabilization and cold-chain elimination. We're building a discovery engine — not a single-asset company — with a growing patent portfolio and active university research collaborations. Founded in 2026 and backed by a team with deep M&A, capital markets, and life sciences expertise.

The Role

We're looking for a Chief Legal Officer to build our legal function from the ground up. You'll be the company's first legal hire, reporting directly to the CEO, and will own everything from IP strategy and patent prosecution oversight to corporate governance, regulatory compliance, and deal structuring. This is a hands-on role at a pre-revenue startup — you'll draft documents, negotiate agreements, and set up the systems that scale.

What You'll Do

  • Own the company's IP strategy across a growing portfolio of provisional and non-provisional patent applications, coordinating with outside patent counsel on prosecution, FTO analysis, and freedom-to-operate opinions
  • Structure and negotiate sponsored research agreements, licensing deals, collaboration agreements, and material transfer agreements with university and industry partners
  • Manage corporate governance, including board matters, stockholder consents, equity plan administration, and securities compliance (Form D, blue-sky filings, Regulation D)
  • Advise on FINRA/regulatory matters relevant to the founding team's broker-dealer affiliations
  • Build and maintain the company's contract management, compliance, and corporate records infrastructure
  • Support capital raising activities, including convertible note and SAFE structuring, investor due diligence, and data room preparation
  • Oversee outside counsel relationships across IP, corporate, employment, and tax

What You Bring

  • JD with 8+ years of experience in corporate law, IP law, or life sciences transactional work; in-house biotech or startup experience strongly preferred
  • Deep understanding of patent prosecution and IP portfolio strategy, particularly in the biotechnology or protein engineering space
  • Experience with university technology transfer, sponsored research agreements, and Bayh-Dole compliance
  • Familiarity with Delaware corporate law, early-stage equity structures (RSPAs, option plans, SAFEs, convertibles), and securities exemptions
  • Comfort operating as a solo legal function in a fast-moving, resource-constrained environment
  • Bar admission in at least one U.S. jurisdiction
