The Role
We’re seeking a founding Chief Legal Officer (CLO) to join our early-stage executive team. This is a unique opportunity to help lay the legal foundation for a company from day one. You’ll work closely with the CEO on all legal aspects of startup formation, funding, compliance, and governance as we build a future-facing tech ecosystem.
Note: We’re specifically looking for someone Tampa-based or willing to relocate. As we grow and establish a physical HQ, this role will operate locally alongside other members of the executive team.
This is an equity-compensated role with a standard 4-year vesting schedule (1-year cliff). Compensation will initially be equity-based only, with the potential to transition into a salaried position once funding milestones are met.
What You’ll Do
• Advise on corporate structure, cap table management, and legal compliance (Delaware C-Corp)
• Lead legal due diligence for venture fundraising (e.g., SAFEs, convertible notes)
• Draft and review contracts, NDAs, employment agreements, and investor documents
• Help establish our equity compensation plans (e.g., ESOP, RSUs)
• Set up risk management policies and ensure legal documentation is up to date
• Collaborate closely with the CEO, CFO, and other stakeholders
• Support long-term legal strategy as we scale into cloud, platform, and hardware spaces
What We’re Looking For
• Active U.S. bar license (required)
• Located in or willing to relocate to Tampa, FL (required)
• Experience supporting early-stage startups or tech companies (preferred)
• Familiarity with venture capital, equity structures, and founder agreements
• Strong attention to detail and ability to lead all things legal in a lean, agile team
• Comfortable with equity-first compensation in early-stage environments
Compensation
• Equity only (Founding Grant)
• 4-year vesting schedule with 1-year cliff
• Opportunity to move into a full-time salaried executive position post-funding
